X. Governing Law

This Agreement and its performance shall be governed by the laws of the State of New York, United States of America. By using this Web site you consent to the exclusive jurisdiction of the courts located in New York for any action arising from these Terms of Use. Any cause of action or claim, which you may have with respect to this Web site must be commenced within one (1) year after the claim or cause of action arises. If any portion of these Terms of Use is deemed unlawful, void, or unenforceable, then that part shall be deemed severable and shall be construed in accordance with applicable law. Such a term will not affect the validity, and enforceability of any remaining provisions. Axel Johnson’s failure to act with respect to a breach of these Terms of Use shall not constitute a waiver and shall not limit Axel Johnson’s rights with respect to such breach or any subsequent breaches.

XI. Attorney’s Fees

If Axel Johnson takes any action to enforce these Terms, Axel Johnson will be entitled to recover from you, and you agree to pay, all reasonable and necessary attorney's fees and any cost of litigation, in addition to any other relief, at law or in equity, to which Axel Johnson may be entitled.

XII. Injunctive Relief

You acknowledge that a violation or attempted violation of any provision of these Terms will cause such damage to Axel Johnson as will be irreparable, the exact amount of which would be difficult to ascertain and for which there will be no adequate remedy at law. Accordingly, you agree that Axel Johnson shall be entitled as a matter of right to an injunction issued by any court of competent jurisdiction, restraining such violation or attempted violation of the Terms by you, or your affiliates, partners, or agents, as well as recover from you any and all costs and expenses sustained or incurred by Axel Johnson in obtaining such an injunction, including, without limitation, reasonable attorneys’ fees. You agree that no bond or other security shall be required in connection with such injunction.

XIII. Assignment
